Terms of Use

1. Acceptance & eligibility

By creating an account or using Suppli in any way, you confirm that you are at least 13 years of age and agree to be bound by these Terms of Use. If you do not agree, do not use the service. Users under 18 must have permission from a parent or guardian. We reserve the right to terminate accounts where we discover this requirement has not been met.

2. Service description

Suppli is an automated inventory synchronisation SaaS tool operated by AUKSales LLC that connects supplier CSV feeds to sales channels (Shopify, eBay, Walmart, Amazon, and others) via API integrations. It is designed for dropshippers and online retailers who wish to automate inventory management.

3. Account responsibilities

• You are responsible for keeping your login credentials secure
• You must provide accurate and truthful account information
• You are responsible for all activity that occurs under your account
• You must notify us immediately of any unauthorised access at muneeb@suppli.site

4. Acceptable use

You agree not to:

• Use Suppli for any unlawful purpose or in violation of any applicable laws or regulations
• Create multiple free accounts to circumvent the free sync limit — we monitor for this and will terminate all associated accounts
• Abuse, circumvent, or exploit API rate limits on connected platforms
• Use Suppli to sync inventory for products you are not authorised to sell
• Resell or sublicense access to the Suppli service without written permission
• Attempt to reverse engineer, copy, or create derivative works of Suppli
• Upload malicious files or attempt to compromise Suppli's infrastructure
• Use automated scripts to abuse the Suppli interface beyond normal API usage

5. API credentials

You are solely responsible for the API credentials you provide to Suppli (Shopify tokens, eBay keys, Walmart keys, Amazon SP-API credentials). Ensure these credentials have only the minimum required permissions. Suppli uses these credentials exclusively to perform the inventory sync actions you configure.

6. Service availability

We aim to maintain high uptime but cannot guarantee 100% availability. Suppli may experience downtime due to maintenance, infrastructure issues, or external API failures. We are not liable for losses caused by service interruptions.

7. Limitation of liability

Suppli is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by applicable law, AUKSales LLC is not liable for:

• Inventory errors, overselling, or lost sales caused by inaccurate or delayed supplier CSV feeds
• API rate limiting, errors, or outages on connected platforms (Shopify, eBay, Walmart, Amazon)
• Financial losses resulting from incorrect product mappings configured by the user
• Network failures, third-party service outages, or data loss
• Any indirect, incidental, special, consequential, or punitive damages arising from your use of the service

Our total liability to you for any claim arising from use of Suppli shall not exceed the total amount you paid us in the three months preceding the claim.

8. Termination

We reserve the right to suspend or terminate accounts that violate these terms, abuse the service, create fraudulent accounts, or engage in illegal activity — without prior notice and without refund where applicable. You may delete your account at any time by contacting muneeb@suppli.site.

9. Governing law

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law principles. AUKSales LLC is the legal entity operating Suppli.

10. Dispute resolution

Before initiating any formal legal proceeding, you agree to contact us first at muneeb@suppli.site and give us 30 days to resolve the issue informally. If we cannot reach agreement, disputes shall be resolved by binding arbitration in New York under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

11. Cookies

Suppli uses session cookies only — strictly necessary for keeping you logged in. We do not use tracking cookies, analytics cookies, or third-party advertising cookies. See our Privacy Policy for full details.

12. Changes to these terms

We may update these Terms of Use from time to time. Continued use of the service after changes are posted constitutes your acceptance of the revised terms. We will notify active users of material changes by email.

15. AI Assistant Usage Policy

Suppli includes an AI-powered chat assistant powered by Anthropic's Claude API. Use of this assistant is subject to the following terms in addition to everything else in these Terms of Use:

• The Suppli AI assistant is provided for legitimate account support, product questions, and inventory-related help only
• Automated, scripted, or programmatic use of the assistant — including attempts to bypass rate limits, message caps, or abuse protections — is strictly prohibited
• You may not use the assistant to generate, extract, or infer information in a way that constitutes abuse of Anthropic's underlying API or violates Anthropic's Usage Policy
• AUKSales LLC reserves the right to revoke assistant access, suspend, or permanently ban accounts found engaging in abusive or scripted usage — without prior notice and without refund
• Rate limits and message caps apply to both free and paid tier accounts and exist to ensure fair access for all users
• Anonymous visitors may use the assistant with a reduced message limit; creating multiple sessions, accounts, or using VPNs/proxies to circumvent these limits is a violation of these terms

14. Billing & Payments

• Subscription: $1/month after your first 5 free syncs
• Payment processor: All payments are handled by Stripe. Your card details are never stored on Suppli servers. Stripe is PCI-DSS compliant and used by millions of businesses worldwide.
• Cancel anytime: Cancel your subscription at any time from your billing page at suppli.site/billing/ — no questions asked, no cancellation fees.
• Access after cancellation: You keep full access until the end of your current billing period.
• Refunds: If something went wrong on our end, email muneeb@suppli.site and we'll sort it out immediately.
• No hidden fees: The price is $1/month. That's it. We don't do that around here.
